Re: Regarding Letter to Customers of Walden Thonglor 8 “Notification of Change in Project Shareholding Structure” issued by Habitat Group Company Limited dated 15 May 2026.

Jade Partners, as the Trust Manager of ALLY KEX Private Equity Trust, would like to clarify that as of 16 May 2026, Jade Partners and its affiliates including ALLY KEX Private Equity Trust, are not directly involved in the day-to-day operations or decision-making processes of Walden Thonglor 8 project.

ALLY KEX Private Equity Trust and its related entities currently have a limited role in the Walden Thonglor 8 project as a lender and minority shareholder. They do not hold any director position in Habitat Group List Company Limited, which is the developer and the owner of Walden Thonglor 8 project.

The Letter to Customers of Walden Thonglor 8 issued by Habitat Group dated 15 May 2026 was issued by Habitat Group List Company Limited without the consent of ALLY KEX Private Equity Trust and its affiliates. 

The Trust Manager however can confirm that it is currently in discussions to find an ultimate solution to the issues arising within Habitat Group List Company Limited. The solution includes inclusion of the Trust or its affiliates to become a party with more substantial stake and control within Habitat Group List Company Limited. However, any such change remains subject to the approvals of relevant parties. 

Jade Partners will communicate promptly if there is any change in the Trust’s role in relation to Walden Thonglor 8 project.
